2 . BACKGROUND
On July 1 st, 2023 , the Governance Working Group formally commenced operations once three Stewards were selected per AIP- 239 . This group is responsible for providing neutral and objective governance oversight and support for the operations of the ApeCoin DAO as stated in including AIP- 1 , AIP- 137 , AIP- 138 , AIP- 239 , AIP- 240 , AIP- 317 and AIP- 408 .

2 . 1 PURPOSE OF REPORT
This report was prepared for informational purposes only in order to provide transparency into the Governance Working Group progress and budget expenditures, as well as a summary of the activities within the Governance Working Group for a given quarter.

3 . ROLES & RESPONSIBILITIES
The Governance Working Group (GWG) is a six-seven person team responsible for numerous day-to-day operations within the ApeCoin DAO. Their responsibilities encompass project management, initiative development, election facilitation, and various steps in the AIP process. The group is also tasked with establishing guidelines for effective governance and other initiatives designed to foster community involvement. It comprises three Stewards, three Facilitators, and one Secretary, each with specific duties.
3 . 1 THE GOVERNANCE STEWARD ROLE INCLUDES
Project Management and Team Coordination: Oversee project lifecycles for ApeCoin DAO initiatives, and manage teams of facilitators, brand partners, service providers, community members and the DAO Secretary
Governance Framework Development: Maintain and update governance policies and procedures
Initiative Development: Develop and manage programs and initiatives
Financial Management: Draft, publish, campaign for, and implement DAO budgets
Community Engagement: Foster engagement with token holders and delegates through various channels. Fine-tune community-submitted proposals. Provide feedback to AIP authors. Manage community committees and initiate research and development protocols
Transparency and Reporting: Prepare detailed budget updates as well as quarterly and annual transparency reports
Election Facilitation: Facilitate the election process for the Special Council and Working Groups
Day-to-Day Operations: Manage specific day-to-day operations of the DAO

Working Group Support: Actively participate in Working Group meetings, providing administrative assistance and acting as a general aid to GWG Stewards in the overall development and execution of initiatives
Transparency and Communication: Publish monthly Secretary reports, maintain an up-to-date DAO organizational chart and tend to day-to-day GWG bookkeeping needs
3 . 3 THE DISCOURSE FACILITATOR ROLE INCLUDES
Create Draft Analysis Reports (DARs) for the Special Council to analyze
Serve as a communication bridge, conducting Q&A sessions with AIP authors on behalf of the APE Foundation, Special Council, and Cayman administration
Coordinate and participate in meetings with the Special Council and Cayman administration

5 . KEY ACCOMPLISHMENTS
Distributed over 7330 APE back into the community

7 . OBSERVATIONS & IDENTIFIED CHALLENGES
During Q 2 2024 , our primary challenge, similar to Q 1 , was operating with only two of the three Stewards. This situation created various logistical challenges and led to unbalanced workloads among team members. Additionally, we encountered unforeseen delays in the release of AIP- 408 Q 2 /Q 3 Governance Working Group Budget funds due to a lengthy but necessary KYB (Know Your Business) process for the GWG’s nonprofit DAO LLC entity, which subsequently pushed back the launch dates for AIP- 408 initiatives.
We also chose to adjust our timeline for AIP- 408 OKR- 1 : Revising the Working Group Charter, recognizing the significance of this document and the impact it would have on other Working Groups. We decided to wait until July 1 st, when the DAO would introduce an additional Web 3 Development Working Group with two new Stewards, as well as new Stewards in the Marketing & Communications, Metaverse, and Governance Working Groups. Since these new members should have input, we paused our efforts — an oversight in our original timeline. Naturally, it also became necessary to allow adequate time for onboarding and gain a deeper understanding of the Working Group structure and ApeCoin DAO as a whole.
8 . FUTURE OUTLOOK & CONCLUSION
The final week of June marked a significant milestone as we closed out the second quarter with AIP- 408 funds landing in full, which enabled us to activate a variety of new channels.
This sparked a wave of excitement going into July, amplified by the addition of a new GWG Steward, DeSmart, and four others across the other Working Groups. This period also showed our ability to manage resources effectively, as we successfully stretched AIP- 317 funds from six months to eight, proving that the Governance Working Group is not only operating efficiently but also coming in under budget.
Another one of our major challenges was addressed, with bookkeeping and accounting being a common issue for crypto-funded organizations given price volatility and currency conversions. After screening various protocols, we settled on Request Finance as the best fit for our needs. Alongside this, we developed a new wallet strategy for AIP- 408 funds, responsibly converting a portion of our grant into stable coins to cover liabilities while still retaining over 90 % of the total grant in APE.
The arrival of these funds also enabled the full development of our small grant and Delegate Accelerator programs, two initiatives that BigBull and I had been planning for quite some time. We also saw new team members like ShotgunTobi and BojangleGuy stepping up, proving that the GWG was not just ready to scale – we put the right people in place to help push it forward with us.
Looking ahead to the close of this quarter, I anticipate the impacts of our primary initiatives will continue to rise, including APE_U, which has already become a huge success and valuable learning experience for us. Additionally, we will be presenting a new iteration of the Working Group Charter this quarter, while navigating ongoing changes within the DAO to proactively address areas that may not be immediately apparent but certainly require attention.
In summary, with APE_U, small grants, and the Delegate Accelerator all in motion, our impact and overall reach is growing rapidly by the day and we are excited for what’s to come.

7 . OBSERVATIONS & IDENTIFIED CHALLENGES
The most significant challenge encountered by the GWG in the first quarter of 2024 , which will persist until the election of an additional Steward next month, is managing the workload. While our execution is strong, it requires extended workdays and an often-intense pace.
Bookkeeping was also identified as an area needing improvement. Our current workflow predominantly involves invoicing against existing AIP- 317 funds before their receipt and subsequent distribution to the necessary channels. Additionally, some funds have been distributed on our behalf. Although we appreciate the assistance and recognize the benefits this system provides, it poses substantial difficulties from a bookkeeping perspective, particularly due to token price fluctuation and the coordination required for executing Gnosis Safe signatures across different time zones, which exacerbates cost fluctuations.
Furthermore, onboarding is an area where the GWG is actively seeking to enhance efficiency. We are currently developing an updated set of standard operating procedures to streamline this process in preparation for July, when we will welcome at least one new Steward.
8 . FUTURE OUTLOOK & CONCLUSION
One of the most significant enhancements to the Governance Working Group (GWG) has been the appointment of DAO Secretary, BojangleGuy. His close collaboration with us on operational and developmental fronts has resulted in substantial improvements to our bookkeeping workflow, highlighted by the implementation of new procedures and record-keeping systems.
Moreover, we are actively engaging with software protocols specializing in crypto-focused payment distribution and real-time fiat conversions to further streamline our accounting practices and enhance transparency for the community. Additionally, we are transitioning away from our previous invoicing flow and assuming the full amount of AIP- 408 funding to eliminate unnecessary steps in our treasury management and record-keeping processes.
In addressing Steward workload, we have enlisted support from some of our most capable contributors from the community through our CGIP Program. Their assistance spans a variety of areas including initiative development, coordination, content creation and beta-testing new user interfaces and tooling. Looking ahead, we are eager to bring on even more talented individuals from the ApeCoin ecosystem under the GWG umbrella.

KYC / Know Your Customer: Procedure whereby a business verifies the identity of its clientele. In the nomination process, KYC serves to safeguard the ApeCoin community by ensuring that candidates do not present a risk and have no affiliations with sanctioned entities, countries, or businesses.
Nomination Announcement: A topic posted in Discourse that signifies the beginning of a nomination and election process. The Nomination Announcement will include details about the process, timeline and critical dates, the application and candidate process, and any other relevant details for the community.
GOVERNANCE WORKING GROUP STEWARD ROLES & RESPONSIBILITIES
In accordance with AIP- 239 and its associated Working Group guidelines, Working Group Stewards hold the responsibility of overseeing the operational activities of their assigned Working Group.
Furthermore, they are expected to demonstrate a deep understanding of the Working Group’s scope they seek to join. This includes comprehension of its Charter and a strong familiarity with any active initiatives outlined in associated proposals approved by a DAO-wide vote, where ongoing participation will be an expected aspect of their elected role.
Additionally, Steward Nominees are prohibited from simultaneously running for positions as Special Council, DAO Secretary, or Steward in another Working Group to ensure focused leadership and mitigate potential conflicts of interest.

PHASE 1 : Application and Verification [ 21 days]
Community members are invited to submit KYC and nomination profile information.
Applications will remain open for 21 days.
Once an Applicant submits their information and nomination profile, the KYC and background verification process may take up to 7 days.
PHASE 2 : Community Discussions [ 14 days]
Nominee profiles will be published on Discourse.
Topics in this category will be locked for editing but will be open for comments for 14 days.
At any time, Nominees can request to withdraw their nomination from the process by email or on the topic itself.
Community members are encouraged to review and engage with the Nominees.
PHASE 3 : Community Vote [ 6 - 12 days]
A Snapshot vote will be conducted if there are more than 5 Nominees, aiming to select the top 5 Nominees who will proceed as official Candidates.
If there are 5 or fewer Nominees initially, all will become Candidates and advance to the second and final round of elections.
ELECTION PROCESS

The APE Foundation, as a legal entity, is obligated to collect information and documents for KYC purposes. Nominees: Throughout PHASE 2 this sub-category will serve as a platform for community interaction, allowing members to engage with, pose inquiries to, and seek clarification from nominees on their respective nomination profile pages. Nominees are individuals who have submitted an application and completed the KYC and background verification procedures.
Election Candidates: Profiles of applicants will begin transitioning from the “Working Group Nominees” sub-category to “Election Candidates” under the following conditions:
If the total number of nominees is 5 or fewer; or
If the number of nominees exceeds 5 , and the applicant ranks among that top 5 , as determined by our community vote on Snapshot.
Rejected/Withdrawn WG Steward Nominations: This section serves as a repository for applications that the applicant has withdrawn, rejected through a community vote (at either the nomination or election stage), or withdrawn for any other reason.

The ApeCoin DAO Special Council nomination and election process is officially open for two candidates to be selected to serve a term of one year, beginning on July 1 st, 2024 , and concluding on June 30 th, 2025 .
Please note that elections are facilitated by the ApeCoin DAO Governance Working Group, and any election procedures, application prerequisites, and pertinent timelines written in this document serve as our official notice.

KEY TERMS
Applicant: An Applicant is defined as any individual who submits a nomination application.
Nominee: A Nominee is an Applicant that has submitted an application and completed the KYC and background verification process.
Candidate: Candidates are Nominees who attain eligibility for the electoral process.
KYC / Know Your Customer: Procedure whereby a business verifies the identity of its clientele. In the nomination process, KYC serves to safeguard the ApeCoin community by ensuring that candidates do not present a risk and have no affiliations with sanctioned entities, countries, or businesses.
Nomination Announcement: A topic posted in Discourse that signifies the beginning of a nomination and election process. The Nomination Announcement will include details about the process, timeline and critical dates, the application and candidate process, and any other relevant details for the community.
SPECIAL COUNCIL ROLES & RESPONSIBILITIES
Reviewing AIP proposals:
Reviewing and evaluating proposed AIPs with critical analysis.
Participating in informed discussions with SC members and the APE Foundation about AIP impacts.
Advancing AIPs for ApeCoin DAO voting after internal deliberations outlined in AIP- 1 , Phase 6 .
Ensuring strategic alignment and operational flow:
Attending meetings with the APE Foundation, DAO Administrators, Directors, and legal counsel.
Actively contributing to ApeCoin DAO governance by providing insights and ideas aligned with its principles and mission.
Developing regulatory strategies to ensure compliance and mitigate legal risks within the ApeCoin DAO ecosystem.
Managing the Treasury efficiently and implementing fiscal policies to support ApeCoin DAO objectives.
Supervising APE Foundation administrators and service providers to ensure diligent and timely task execution.
Regularly attending ApeCoin DAO meetings with Working Group Stewards and Discourse Facilitators, actively contributing to discussion and ApeCoin DAO governance processes.
Actively engaging with the ApeCoin DAO community and broader ecosystem:
Engaging in conversations across various ApeCoin DAO communication channels, facilitating discussions, and providing updates on initiatives.
Addressing community inquiries, concerns, and suggestions to foster open communication and ensure responsiveness.
Representing the community’s interests in relevant spaces/events to expand the ApeCoin DAO network.
Collaborating with the community to guide the DAO’s direction and align with broader community needs. Facilitating DAO initiatives with community involvement to drive strategic goals. Identifying growth opportunities and advocating for ApeCoin DAO within web 3 and non-web 3 communities.
Promoting ApeCoin adoption across diverse demographics and geographies.
Planning for the sustainability of operational expenses for the APE Foundation and ApeCoin DAO.
Ensuring stewardship of ApeCoin DAO’s intellectual property rights.
Special Council Requirements:
Thorough understanding of ApeCoin DAO’s structure, including APE Foundation operations and governance protocols.
Capacity to dedicate full-time hours as needed, demonstrating flexibility and adaptability. Strong communication skills, adept at conveying complex concepts to diverse audiences with clarity.
Proven leadership abilities, capable of guiding multiple teams and motivating others to attain ApeCoin DAO objectives.
Meticulous attention to detail, ensuring precision and completeness in all responsibilities.
Passionate about community service, committed to enhancing the ApeCoin DAO community and broader ecosystem.
Special Council Expectations:
Remaining accessible for meetings, events, and discussions hosted by the APE Foundation or ecosystem members, with flexibility to accommodate diverse schedules and commit necessary hours for effective participation.
Adapting working hours as needed to meet changing schedules and deadlines aligned with ApeCoin DAO’s requirements.
Maintaining comprehensive awareness of all AIPs.
SPECIAL COUNCIL ELECTION PHASES
The Special Council election process will start on May 1 st, 2024 at 9 p.m EST and will end on June 19 th, 2024 at 9 p.m EST.
PHASE 1 : Application and Verification
Community members are invited to submit KYC and nomination profile information, here.
Applications will remain open for 21 days.
KYC and background verifications will be conducted within up to 7 days.
PHASE 2 : Community Discussions
Nominee profiles will be published on Discourse.
Topics in the discussion categories will be locked for editing, but will be open for comments for 14 days.
Community members are encouraged to review and engage with the Nominees.
PHASE 3 : Community Vote
A Snapshot vote will be conducted if there are more than 5 Nominees, aiming to select the top 5 Nominees who will proceed as official Candidates.
If there are 5 or fewer Nominees initially, all will become Candidates and advance to the second and final round of elections.

ELECTION PROCESS
The Special Council election process is designed to ensure equitable and unbiased opportunities for all Applicants and is conducted every six months to uphold continuity.
Elected candidates will serve a one-year term with the option to run for a second term.
Voting will be conducted on the ApeCoin DAO Snapshot space.
The two Candidates garnering the highest number of votes will be elected.
Refer to AIP- 138 : The Special Council Election Process for further details.
INSUFFICIENT NOMINEES
If the number of nominees after the KYC verification process is fewer than the seats up for election, the seats will be reduced accordingly, with the vacancies open for election in the subsequent nomination and election cycle.
PERSONAL INFORMATION & KNOW YOUR CUSTOMER (KYC) VERIFICATION
The APE Foundation, as a legal entity, is obligated to collect information and documents for KYC purposes. The information provided in Section 2 of the Special Council Nomination Form shall be treated as confidential unless the Applicant opts for its inclusion in the nomination profile at their discretion.
At no point will Governance Working Group Stewards or any other elected (or non-elected) members at ApeCoin DAO see your information.
1 . Collection and Purpose: All personal information collected through this application process will be used solely for Know Your Customer (KYC) verification and other verification procedures mandated by AIP- 137 and AIP- 138 .
2 . Data Administrator: Webslinger, acting as administrator for the APE Foundation, will collect and manage all personal information.

NOMINATION PROFILES
If considering self-nomination, it is imperative to recognize that the community will rely on the information provided in the relevant sections outlined in Section 3 of the Special Council Nomination Form. These sections include the nomination statement, educational background, professional background and relevant experience, motivation, vision and goals, values and commitment, as well as a space for a concluding statement. Please ensure thoughtful consideration and thoroughness when completing these sections.

Watch for a more detailed announcement in the coming weeks with more information on the elections, and nomination processes as a whole. Until then, here are a few things to keep in mind:
A third-party firm conducts KYC, so Stewards will NOT have access to your information
The nomination phase will be open for 21 days, followed by a community discussion period for 14 days, and then voting will go live for 6 - 12 days
Up to two rounds of voting, based on the number of approved nominees

To be qualified = passing KYC.
Maybe better working would be “approved nominees” or “KYC passed”.
Maybe it’s just me but “qualified” suggest there’s some sort of educational/professional requirements etc. Personally I wish this was the case, but until we get to that point we should try to keep language unambiguous.
