Content: Hi @Novocrypto our value proposition is to act as a trusted administrator for DAOs and in our role for this DAO and other DAOs, we serve in a professional and institutional manner. If the vote proceeds as is, our intention would be to communicate with the new Council and ensure a smooth transition. This DAO is creating new paths and we are also going through this new uncharted waters with the community.

- Novocrypto: Thanks Brian! I appreciate all you, Brandon and your team have done for the DAO and understand where you’re coming from with your AIP. I’d personally be very sad to see Cartan voted out of Apecoin DAO as I’ve had nothing but a fantastic experience working with you so far in the course my own AIP process and the elections and other AIP processes.
In any case, appreciate your willingness to see the DAO through a transition period, should that become necessary.
I still hope it won’t! But here to help the DAO get through this if that ends up being the case.
- furiousanger: Problem I have with this - if AIP fails, your team’s help will be less focused, as from jan 1st onwards theyll be unpaid from APECOIN DAO. Your other DAOs will always take priority and any help with the transition will be fragmented and perhaps mediocre at best, I say this from experience dealing with legacy teams.
Maybe agree to a 3 month extension with continuation of originally agreed compensation?
To just hit us with such a late proposal, with no time to digest it all fully, with added 2,000,000 approx price tag was either planned or unforgivably neglectful and I fully understand why the community is so outraged and demonstrating this is their voting power.

I’ve also updated the votes to 5 in the AIP Idea. Looking across current AIP Ideas, there are only a few with more than 5 votes. The intent of this AIP would be to seek additional engagement on voting in AIP Ideas while trying not to make the threshold too cumbersome. Open for feedback.

Our terms were extended along with the Special Council as per AIP- 113 up to 31 Dec 2022 . Based on the election timelines, the vote for new Council members would be completed on 28 Dec 2022 , which would not allow sufficient time for our AIP to go through the proper governance process. We are no exception to having to get the DAO to vote on our continued service and we very much think it is the most advanced & transparent process in the world.
The fee proposed is US$ 250 , 000 + 20 , 000 ApeCoin, which at today’s prices, would be about US$ 330 , 000 . Cartan is a business building a revenue model just like any other company in the world. However, unlike other companies, we need to anticipate resource requirements through the year and transparently propose them to the DAO for approval. We very much think this is the best and most transparent manner forward and would not have it any other way.
We also believe it is important to take some fees in ApeCoin so we can better align with the DAO’s value creation initiatives. Overall, we are optimistic about the future and looking forward to continuing to serve the DAO community members.

- wapow: My apologies on initial calculation and thank you for starting to provide more communication and info. As a long-term hodler and “new to dao structures” participant I’m learning how to participate. I made a mistake on my initial apecoin price calculation; maybe I was manifesting future higher token value due to increased adoption and usage.
Regardless, I would like to understand the scope of work differences between the original scope which CG received compensation of 150,000 per month vs. the proposed scope of ~ 330,000 per month.
Generally, I am in favor of investing in areas that will generate additional adoption of Apecoin. To date it has been confusing to understand how this work has been progressing. A couple of follow-up questions:
Todays transparency report shows the dao investment outflows 5:1 of operating expenses to grants. (493,271 to 96,045). If we just look at Admin Fees the outflow decreases to 217,907. This would be 2x our current grant investments. Does the council have a viewpoint on what the correct ratios and/or future allocations should be? Does the council have a view of where these will normalize in the future? This AIP is advocating for a 2x of current administration fees. This raises a question of having administrative fees that are significantly higher than our current grants (which have direct impact on building the ecosystem)
It was mentioned that we have 10 full-time staff working on this project. You mentioned anticipating future resource needs that may arise. Can you share how current individuals are allocated to this project? What will the future staffing, and more importantly the deliverables look like with increased resources?
Waiting for additional apecoin council members; Agree that a couple of days will not allow sufficient time to integrate the new members into this decision making process with the end of your contract. Does your current contract allow for an extension under the current scope of work or can that be accomplished through a revised AIP? To me, this community representation is important for a decision of this size. The total size of this 12 month commitment roughly 4 million, and I agree with the views expressed here that we should be working to decentralize more of the DAO operations. I understand this is a business for CG and it should be compensated for its work.

I believe the work we have done and will continue to do go above and beyond simply providing operational and project management support for the Foundation. As chairperson for 30 Council meetings, protecting the Foundation by securing 547 domains and processing over 30 trademark filings, preparing financial statements and publishing quarterly transparency reports, and authoring 11 AIP Ideas & 10 other topics, I believe we are playing a crucial role in the operations of the Foundation.
I would agree that some responsibilities in the section 1 . Managing the AIP governance process under the Expanded Scope would be captured under the Initial Scope. This includes administering Discourse, administering Snapshot, preparing AIP Analysis Reports and AIP DAR Packages, and implementing changes to Snapshot & Discourse as per community feedback. Nonetheless, while the Initial Scope does not include running a RFP process or creating and running a nomination and election process, we are committed to supporting the future of the ApeCoin DAO and took those responsibilities on.
We have 10 FTEs working on this project and intend to invest the resources needed to continue growing our services for ApeCoin. I certainly agree that the future of ApeCoin DAO is intended to be distributed, and we are happy to be the trusted, professional DAO administrators to help the ApeCoin DAO achieve that.

Thanks for the response. We understand you are going above and beyond and you should be fairly compensated. However, it is still unclear to me exactly what you define as within the Initial Scope for all the services listed in your original post. I would have thought operational and project management included running a RFP process or creating and running a nomination and election process; those would seem to fit the broad definition of an Administration team? Since they are not, I believe we will need a full understanding of exactly where the lines are drawn for Cartan’s engagement.
It would be helpful if you could please provided us with a table below, which is something one could expect when reviewing an engagement letter to expand the scope of services. This would allow the DAO members to better visualize what they are being asked to assess and approve.

The Ape Foundation is a foundation company incorporated in the Cayman Islands. The company will continue to exist, whether or not any of our or any AIPs pass or fail.
We were extremely early in building out this type of business model and remain uniquely positioned in the market as a full service & dedicated DAO administrator. We take the trust placed in our organisation extremely seriously and administer our DAOs with the utmost care and professionalism.
As per AIP- 113 , our terms were also extended along with the Special Council up to 31 Dec 2022 . ABSTRACT
Cartan Group LLC ("Cartan " or “we”), trusted and invited by the launch contributors, was elected by the community to administer the governance process for Ape Improvement Proposals ("AIPs ”) and the voting process, as outlined in AIP- 1 and AIP- 2 , respectively.
Over the past 8 months, we’ve had the opportunity to serve the community and push forward the DAO’s long-term vision. We have talked to thousands of community members, made new friends, and have had an amazing time collaborating with everyone (more on Cartan’s initial scope of DAO operations and key accomplishments to date in Rationale Section below).
We have worked continuously to match the momentum and keep the workflow moving, which meant taking on additional responsibilities that were not part of the original scope. Ultimately, things needed to be done, so we rolled up our sleeves and delivered, and through operating this way, and listening to the community, we have connected with the nuances of what community members want delivered (more on expansion of scope of DAO operations and key accomplishments to date in Rationale Section below).

Administering and operating a DAO is a specialised skillset that requires expertise across engineering, finance, social media management, treasury management, governance, marketing, communications, and policy development.
MOTIVATION
This AIP outlines more accurately the roles, functions, responsibilities and ambitions that have been and will continue to be carried out by Cartan over the next year to better reflect the responsibilities and commitment necessary to administer the DAO properly.
The main goal of the next year is to expand our community of ApeCoin holders and work through a phased approach that realises ongoing improvements for the ApeCoin community.
By offering the most engaged community members jobs with a proper training, reporting structure, accountability, benefits and bonuses, we will expand the community moderation team.
Through the expansion of the community moderation team, we will propose amendments and adjustments to the AIP process for community review and approval that would be intended to work more efficiently and transparently. This includes having all interactions between the analysis team and the author be fully public for all to see. We will also investigate and implement a soft support level within Discourse to verify the community actually wants to see an AIP go to vote to reduce the unnecessary use of community resources and administration of putting something up for vote that the community does not support.
As well, putting together an AIP is a daunting effort for the author or project team. In an effort to help every author answer the question, “how does this grow the APE ecosystem?”, Cartan will deploy an analysis team who will help AIP authors create well-structured business models, with a proper risk identification model and revenue model.
In addition, Cartan will publish quarterly Transparency Reports for the Foundation, which includes but is not limited to details regarding the Foundation’s financial position, cashflows, grants funded and updated budget. RATIONALE
The Foundation is the steward of ApeCoin and the ApeCoin DAO members, and its primary goal is to promote a diverse and self-sustaining ecosystem. The Foundation uses the Ecosystem Fund to meet its objectives and follows an approved governance process to distribute these funds.
While ApeCoin DAO members can make their voices heard through the voting process, the Foundation is ultimately a legal entity that requires a team to carry out its functions. These functions include facilitating decentralised and community-led governance, administering the decisions of the ApeCoin DAO, and being responsible for day-to-day administration, bookkeeping, project management, and other operational tasks that ensure community ideas have the support they need to become a reality.
Initial Scope of DAO Operations
According to the approved AIP- 1 , Cartan was originally elected to provide the following functions for the community:
To provide operational support and project management support for the Foundation;
To act as the team of moderators, administrators, and lead in Discourse;
To act as the team of reviewers to prepare reports and any other supporting documentation necessary; and
Manage Discourse and Snapshot.
Expanded Scope of DAO Operations and Key Accomplishments to Date
Cartan has worked continuously to match the growing momentum of the community and the DAO. As a result, since taking on the role, we have instead provided the following functions for Foundation and the community:
1 . Manage the AIP governance process
Cartan is responsible for:
Providing operational support and project management support for the Foundation.
Acting as the team of moderators, administrators, and lead in Discourse.
Acting as the team of reviewers to prepare reports and any other supporting documentation necessary.
Key accomplishments:
Set-up Discourse and configured settings, categories, and use to purposely fit the AIP governance process.
Built token gating solution in Discourse to ensure discussions are held by and between ApeCoin community members.
Set-up Snapshot Space including but not limited to voting strategies, approved authors, and general information.
Administered Discourse for over 6200 total users, over 500 active users in the last 30 days, and over 22 , 000 posts.
Administered 181 AIP Ideas and a total of 455 topics in Discourse.
Prepared 87 AIP Analysis Reports.
Prepared and sent 58 AIP DAR Packages to the Special Council for review ( 29 AIP Analysis Reports were not sent to Special Council due to withdrawals, no responses from authors, etc.)
Posted 41 AIPs up for vote on Snapshot, with 37 AIPs completed as of the time of this AIP Idea and resulting in 26 Accepted AIPs. These are:

Implemented AIP- 21 / 22 by reviewing proposal requests to build AIP- 21 / 22 , selected Horizen Labs to develop the staking platform for the ApeCoin community, and formally executed grant agreement with Horizen Labs.
Implemented AIP- 121 to update the AIP Draft Template, add the overall cost to Snapshot, and prepare monthly reporting on grant activity.
Authored seven ( 7 ) AIPs that have gone to Snapshot for vote.
Authored AIP- 1 to define the structure of the ApeCoin DAO that would be governed by the holders of ApeCoin. AIP- 1 was approved by the community. AIP- 1 was approved by the community.

TIMELINE
If approved, this AIP shall go into effect 1 January 2023 for a time period of 12 months.
OVERALL COSTS
The community approved fees for the Initial Scope of DAO Operations were US$ 150 , 000 per month.
In order to address the Expanded Scope of DAO Operations, the monthly costs for this AIP is US$ 250 , 000 + 20 , 000 ApeCoin.
The reason for the split cost (between US$ and ApeCoin) is that we know it is important that we fully align with the community and commit to growing the ApeCoin ecosystem, thereby increasing demand, which is beneficial to all.

- NFTC: First off, thanks for everything that you do! I wish this discussion started earlier. Only while reading the Quarterly Report did I realize that Cartan’s funds would expire at end of December.
I have some questions which I hope you can answer:
Will collaboration with the analysis team be a requirement or an optional resource?

My biggest concern is that the 2x increase in cost may fail snapshot vote. Would Cartan consider sending at least two proposals to snapshot? I listed three possible options below:
A) This proposal
B) A 12-month extension of the original scope at the original monthly cost

We appreciate the information and advices you have shared in the AIP. I would fully embrace a shared and decentralized governance for ApeCoin DAO under your leadership and for ApeCoin DAO’s future success.
Since the ApeCoin DAO is pretty young, it needs time to grow, and develop from centralized governance model to more decentralized model. Do you have a roadmap or time frame how the ApeCoin DAO should look like 3 years from now or 5 years from today? Something that you can share with the ApeCoin community. Thank you

It’s literally word-for-word the Initial Scope. There are many more instances related to operational support, project management, reports, etc. Communications seems like the only true expansion IMO. I hope that we can get you guys paid and that you can continue to service the DAO, but clarification is necessary.
On a separate note - I’d like to see Cartan push back and notify the DAO of scope creep. It’s not good for progress towards decentralization. There are members creating and proposing working groups, but when Cartan absorbs more roles, the less of a DAO this becomes.
To summarize my position: I support a 1-year extension of the Initial Scope. I wouldn’t support an Expanded Scope without itemization of the roles and responsibilities deemed “Expansion”.

In addition, Cartan will publish quarterly Transparency Reports for the Foundation, which includes but is not limited to details regarding the Foundation’s financial position, cashflows, grants funded and updated budget. Looking for some clarification around Section 3.3.5 Grant Expenses. As you stated in the report:
“Pursuant to AIP-121, the Foundation was directed to implement reporting showing APE allocation containing “total funds committed and payment of funds up to date, with detail for each AIP (number and title)”. These details are included in table 3.”
Can you please explain why you left the three AIPs (1, 3, 113) out of the Grant Expenses section? Feels pretty arbitrary to not include the grants that were specifically allocating funds to Cartan in this section.

Content: Hi @Mantis, I’ve put together an AIP to add a new Discourse category called Administrative Review: Add new Discourse Category for “Administrative Review” - AIP Ideas - ApeCoin DAO
The purpose is to add a small gain in transparency on which AIPs are under Council review. Currently, these AIPs remain in AIP Drafts. This AIP intends to add an additional layer of transparency. Hope to have your support!

- Mantis: The bigger issue remains that we’ve got a black box that can hold proposals like this up in limbo indefinitely and a contingent of non-responsives that skip discussion and only show up to troll the vote.
I am in favor of your proposal and a couple of others I saw that addressed transparency. Bigger question to the Discourse — how to get these proposals past the hurdles mentioned?
